Job Title: Legal and Compliance Manager

JOB PURPOSE AND REPORTING STRUCTURE:
Under the direction of and reporting to the Corporate Controller, the Legal Manager performs various tasks to safeguard the interest of the organization through legal means. This role helps to ensure compliance with various organizational legal requirements such as regulatory reporting, bank compliance, and Board activities.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
Administer accurate and timely counsel to executive leadership team supporting a variety of legal topics (labor law, partnerships, contracts, new ventures, corporate finance, etc.)
Develop relationships with outside counsel and oversee outsourced legal needs, including cost management
Manage business license renewals and track compliance
Specify internal governance policies and regularly monitor compliance
Research and evaluate risk factors regarding business decisions and operations
Apply effective risk management techniques and offer proactive advice on possible legal issues
Communicate and negotiate with external parties (regulators, external counsel, public authority etc.)
Draft documents, agreements, contracts, and other materials requiring legal knowledge, applying professional discretion as to when to involve outside counsel
Provide clarification on legal language or specifications as needed to support all departmental functions
Write grant applications and/or support plants in seeking most advantageous positions to obtain grants
Maintain current knowledge of legislation impacting both agriculture and cooperative structures
Review, improve and maintain contracts, NDAs (Non-Disclosure Agreement) and other legal documents to benefit the Cooperative
Keep current on compliance, regulatory issues, and applicable laws
Conduct your work with integrity and responsibility
Follow and comply with all safety and work rules and regulations. Maintain departmental housekeeping standards.
All job functions to be completed in compliance with federal, state, local regulations, company guidelines and policies.
Bachelor's Degree in Business, Agriculture, Political Science, Law or a related field and 2-3 years of experience; or
A suitable combination of work experience and education; or
3 to 5 years of progressively responsible related experience
CERTIFICATES, LICENSES, REGISTRATION:
Required: A valid driver s license.
Preferred: Paralegal, J.D. degree, MA or BSc in Business Administration will be considered an advantage
Experience in agri-business or related governmental entities (USDA, DATCP) a plus

Ability to draft effective reports and business correspondence, present information and respond to questions from employees and management.
Ability to perform calculations relating to dispute resolution and apply concepts to negotiation strategies
Ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists. Ability to interpret a variety of governmental laws and technical information furnished in written, oral, diagram or schedule form.
Ability to understand and use company standard business applications and PC software in a manner that achieves efficiency, accuracy, and relevancy of information processing and reporting as it applies to this position.
