As Counsel for the U.S. and Canada, your responsibilities will include:

  • As Counsel, you will provide support for assigned U.S./Canada Business Unit(s) and/or sub-Business Unit(s) with general counsel support for areas such as supply agreements and other commercial agreements, antitrust advice, risk mitigation, and compliance with laws, as well as providing legal training.
  • Together with the Regional Counsel supports Commercial and Manufacturing operations at U.S./Canada sites, including vendor agreements and/or management, support for logistics, government affairs support, logistics and other manufacturing site issues.
  • Provide support for assigned U.S./Canada Business Unit(s) and/or sub-Business Unit(s) with general counsel support for areas such as supply agreements and other commercial agreements, antitrust advice, risk mitigation, and compliance with laws, as well as providing legal training.
  • Together with the Regional Counsel supports Commercial and Manufacturing operations at U.S./Canada sites, including vendor agreements and/or management, support for logistics, government affairs support, logistics and other manufacturing site issues, as well as providing legal training.
  • Provide Trade Compliance support to ensure compliance with domestic and international trade regulations and other regulatory developments.
  • You will advise and keep the business up-to-date on related key legal, regulatory, quality and government affairs developments. As well as deliver sound and cost-effective advice to business partners on legal risks and issues relating to the US/Canada business.
  • Assist with contract review and negotiation, due diligence on corporate projects, and employment matters.
  • As Counsel, you will structure, draft, review, analyze and negotiate distribution agreements, professional services, customer agreements, development agreements and other operational contracts.
  • Cultivate a work culture of operational excellence to enhance the Customer Experience.
  • Collaborate with other legal partners to identify gaps in services provided to business divisions.
  • Build and maintain client relationships.
  • Highly motivated and capable of high-volume quality work in a dynamic, international environment.
  • Highly organized professional able to move multiple projects forward simultaneously and have flexibility to adapt to changing priorities and timeliness related to such projects.

Qualified candidates will have:

  • JD required
  • Minimum 5-7 years of firm or in-house relevant contracting and negotiating experience.
  • In-depth experience in trade compliance and regulatory law, with transactional background in drafting, negotiating and analyzing a wide range of commercial agreements.
  • Confirmed experience handling confidential information and correspondence and the knowledge and ability to maintain documents protected by attorney/client privilege and attorney work product doctrines.
  • Shown history of successful partnering with clients.
  • Proven ability to communicate effectively at all levels and to both legal and business professionals.
  • Confirmed experience in a team environment.
  • Good negotiating and drafting skills.
